1. Scope of Application

These Terms and Conditions apply to all services and products offered by BiK Solution j.d.o.o. to business clients (B2B) in the EU and internationally. They form the legal basis of all contracts, unless otherwise agreed in writing.

2. Conclusion of Contract

A contract is concluded when the customer accepts an official offer from BiK Solution in writing (email suffices) or by using our services (e.g. placing an order, confirming a quote).

3. Services Offered

We offer services including but not limited to:

  • Development of websites and online shops
  • AI agent implementation (voice/chat)
  • Design and printing of marketing materials
  • Sale of NFC business cards and merchandise

Service details are specified in each individual contract or offer.

4. Prices and Payment

All prices are exclusive of VAT. Payment is due upon receipt of invoice, unless otherwise stated in the contract. Payment methods accepted: bank transfer, credit card, PayPal (fees may apply).

In case of delayed payment, BiK Solution reserves the right to charge default interest and suspend services.

5. Delivery & Fulfillment

Delivery times are agreed individually. For digital services, delivery is considered complete upon the final transfer of files or access credentials. For physical goods, delivery terms are FCA Rijeka (Incoterms 2020), unless otherwise stated.

Delays caused by third-party suppliers, shipping providers, or force majeure are not the responsibility of BiK Solution.

6. Client Responsibilities

Clients must provide necessary content, access credentials, and approvals in a timely manner. If clients delay project phases due to missing cooperation, BiK Solution may charge project pause or restart fees.

7. Revisions and Changes

Each service package includes a defined number of revision rounds. Additional changes will be invoiced separately based on our current hourly rate.

8. Warranty and Liability

We strive to deliver high-quality results. In case of defects, clients must report them within 7 business days after delivery. BiK Solution is liable only for gross negligence and intent. Liability for consequential damages, data loss or third-party claims is excluded.

9. Intellectual Property

Unless otherwise agreed, all concepts, graphics, code, and assets developed remain the intellectual property of BiK Solution until full payment is received. After payment, the client receives non-exclusive rights of use for the agreed scope.

Stock images, fonts or third-party assets remain subject to their respective licenses.

10. Data Protection

BiK Solution processes all personal data in accordance with EU GDPR regulations. Details can be found in our [Privacy Policy].

11. Termination & Cancellation

Ongoing service contracts can be terminated with 30 days’ notice. One-time projects may only be canceled against partial compensation of already rendered services and time invested.

12. Jurisdiction and Applicable Law

All contracts are subject to Croatian law. Place of jurisdiction is Rijeka, Croatia. The UN Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
